Welcome to Vixi, an online software-as-a-service (SaaS) platform provided by COFOUNDERIE TECHNOLOGY FZCO, a legal entity incorporated and existing under the laws of the United Arab Emirates, with trade license number 41226, located at Office 301, A2 Building, Dubai Silicon Oasis, Dubai, United Arab Emirates (“Vixi”, “we”, “our”, or “us”).

These Terms and Conditions (“Terms”) govern your access to and use of the Vixi website at https://vixiai.co and any subdomains (collectively, the “Website”), our SaaS products and services (the “Platform” or “Service(s)”), mobile applications, APIs, integrations, documentation, support, and other related offerings.

By registering for, accessing, or using the Services, you (the “User”, “Customer”, “you”, or “your”) agree to be legally bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

1. Eligibility and Account Registration
To use the Services, you must:

Maintain the confidentiality of your login credentials.

Be solely responsible for all activities that occur under your account.

Vixi provides a platform for educators, content creators, and organizations to build, distribute, and monetize interactive, gamified, AI-powered learning courses. Our services include:

Web-based course authoring tools.

Avatar-based virtual instructors.

AI-powered content transformation.

Analytics, hosting, and deployment.

User management and monetization features.

Vixi may evolve its feature set, and we reserve the right to modify or discontinue Services at any time with or without notice.

3. Subscription Plans and Payments
3.1 Free and Paid Plans
Vixi offers both free and premium subscription plans. Premium features are accessible through monthly or annual paid subscriptions.

3.2 Billing and Renewal
All paid plans are billed in advance on a recurring basis.

Subscriptions auto-renew unless canceled at least 24 hours before the end of the billing cycle.

Payment is processed through secure third-party payment processors.

3.3 Upgrades, Downgrades, and Cancellations
You may upgrade or downgrade your plan at any time.

Downgrades will take effect at the end of your billing period.

Cancelled subscriptions remain active until the end of the current term; no refunds are issued unless required by law.

3.4 Taxes
Prices listed are exclusive of any applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for all such taxes.

4. User Content and Intellectual Property
4.1 Your Content
You retain ownership of all content, materials, data, and inputs you upload, create, or generate using the Platform (“User Content”). You grant Vixi a limited, non-exclusive, royalty-free license to host, process, and display such content solely for the purpose of providing the Services.

You are solely responsible for ensuring that your User Content:

Does not violate any applicable laws or intellectual property rights.

Is not defamatory, obscene, or harmful.

Complies with these Terms and our Acceptable Use Policy.

4.2 Vixi’s Intellectual Property
All rights, titles, and interests in and to the Platform, software, website design, algorithms, AI models, trademarks, and content (excluding User Content) are owned or licensed by Vixi. You may not copy, modify, distribute, or create derivative works without express written permission.

5. Acceptable Use Policy
You agree not to use the Platform to:

Violate any laws, including data protection or export control laws.

Transmit malicious software, viruses, or harmful code.

Attempt unauthorized access to our systems or interfere with the integrity or performance of our services.

Resell or sublicense the Services without permission.

Upload or distribute content that is hateful, harassing, or discriminatory.

We reserve the right to suspend or terminate accounts found in breach of this policy.

6. AI and Automated Content Generation
Vixi utilizes artificial intelligence (AI) to generate and enhance content. You acknowledge:

AI-generated content may not always be accurate, complete, or up to date.

You are responsible for reviewing and validating all outputs before publishing or relying on them.

Vixi assumes no liability for decisions made based on AI outputs.

7. Privacy and Data Protection
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and store your data in accordance with applicable data protection regulations, including the UAE’s Personal Data Protection Law (PDPL) and, where applicable, GDPR.

8. Third-Party Services
Our Services may link or integrate with third-party platforms (e.g., Google, OpenAI, Stripe). We are not responsible for the functionality, accuracy, or availability of such third-party services and disclaim all liability related to their use.

Your use of third-party services is governed by their respective terms and privacy policies.

9. Term and Termination

These Terms remain in effect for as long as you use the Services.

9.2 Termination by You
You may terminate your account at any time by contacting us or using the account settings.

9.3 Termination by Vixi
We may suspend or terminate your access to the Services for:

Security or legal concerns.

Non-payment.

Upon termination, your access to the Services and data may be permanently deleted, unless otherwise required by law.

10. Disclaimers and Limitation of Liability
10.1 Disclaimers
The Services are provided “as is” without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee uninterrupted, secure, or error-free use of the Platform.

10.2 Limitation of Liability
To the maximum extent permitted by law, Vixi and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to:

Use or inability to use the Services;

Loss of data or business opportunities;

AI-generated content or decisions made based on it.

Our total liability under these Terms shall not exceed the amount you paid us in the 6 months preceding the event giving rise to the claim.

11. Indemnification
You agree to defend, indemnify, and hold harmless COFOUNDERIE TECHNOLOGY FZCO and its officers, directors, employees, agents, and affiliates from any third-party claims, damages, liabilities, or costs (including legal fees) arising from your use of the Services or your breach of these Terms.

12. Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates. Any disputes arising from or relating to these Terms or the Services shall be resolved exclusively in the courts of Dubai.

13. Amendments and Updates
We may revise these Terms from time to time. Changes will be effective immediately upon posting on the Website or notifying you via email. Continued use of the Services after changes become effective constitutes your acceptance.

14. Miscellaneous
Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Vixi.

Severability: If any provision is deemed invalid, the remainder shall remain enforceable.

Force Majeure: We are not liable for delays or failures due to causes beyond our reasonable control.
